Tap-To-Phone Merchants特約商店服務約定條款
Important - Please read the following terms and conditions carefully. By submitting your Merchant application form to the Acquirer (as defined below) and/or by using the Services (as defined below) by Soft Space Taiwan Branch Sdn. Bhd. (“Soft Space”) in collaboration with Global Payments Asia-Pacific (Hong Kong) Limited, Taiwan Branch (“Acquirer”), you agree that you have read, understood, accepted and agreed with the Terms and Conditions herein. You further agree to the representations made by you, below. If you do not agree to or do not fall within the Terms and Conditions of the Services and wish to discontinue using the Services, please do not use the Application (as defined below) or the Services.
重要 - 請仔細閱讀以下服務約定條款。透過向收單機構（定義如下）提交您的特約商店申請表格及/或使用Soft Space台灣分公司（以下簡稱 "Soft Space"）與香港商台灣環滙亞太信用卡股份有限公司台灣分公司（以下簡稱 "收單機構"）合作使用服務（以下簡稱 "本服務")，即表示您已閱讀、理解、接受並同意本服務約定條款。您亦同意您所做的以下陳述。如果您不同意或不屬於本服務約定條款及條件，且希望停止使用本服務，請不要使用應用程式（定義如下）或本服務。
The Terms and Conditions stated herein (collectively, the “Terms of Use”) constitute a legally binding agreement between you (the “Merchant”), the Acquirer and Soft Space (“Agreement”). The Merchant, the Acquirer and Soft Space shall be referred to collectively in this Terms of Use as the “Parties”.
本服務約定條款（統稱 "使用條款"）將構成您（"特約商店"）、收單機構及Soft Space之間具有法律約束力的協議（"協議"）。特約商店、收單機構及Soft Space於本使用條款中統稱為 "各方"。
By submitting the Merchant application form to the Acquirer and/or by using Soft Space’s Tap-To-Phone Application supplied to you by Soft Space (“App” or “Application”), and/or downloading, installing or using any associated software supplied by Soft Space (“Software”) which purpose is to enable merchants to receive payments from persons with a Tap-To-Phone account, and/or using the App, and/or using the Services, and/or using other products or services provided by Soft Space, its parent entity Soft Space Sdn. Bhd., the Soft Space group of companies, subsidiaries and related entities (collectively referred to in this Terms of Use as “Soft Space Group”), whether or not, in collaboration with the Acquirer, you hereby expressly acknowledge and agree to be bound by the Terms of Use. You are aware and agree that Soft Space may, at its sole discretion, update or revise the Terms of Use from time to time through the App. Your continued use of the Services shall be deemed to be your express acceptance of any revised Terms of Use. You should check this page from time to time to see the changes.
透過向收單機構提交特約商店申請表，及/或使用由Soft Space提供之Soft Space Tap-To-Phone應用程式（"App "或 "應用程式"），及/或下載、安裝或使用由Soft Space所提供的任何相關軟體（"軟體"），其目的是使特約商店能夠擁有Tap-To-Phone帳戶並接收付款，及/或使用應用程式，及/或使用本服務，及/或使用Soft Space、其母公司Soft Space Sdn. Bhd, Soft Space集團公司、子公司及相關實體（在本使用條款中統稱為 "Soft Space集團"）提供的其他產品或服務，無論是否與收單機構合作，您在此明確承認並同意接受本使用條款之約束。您知悉並同意，Soft Space可自行決定透過應用程式不時更新或修訂本使用條款。您繼續使用服務應視為您明確接受任何修訂的使用條款。您應不時查看本頁面以瞭解變更情況。
1. DEFINITIONS
定義
In this Terms of Use, unless otherwise specifically defined herein, all terms shall bear the following meanings:
在本使用條款中，除另有特別定義之外，所有專有名詞均具有以下含義：
“Business Day” means a day (excluding Saturdays, Sundays and public holidays) on which commercial banks in Taiwan are open for business;
"營業日 "是指臺灣商業銀行對外營業的日子（不包含星期六、星期日及國定假期）。
“Charge Back” means, where relevant, the process whereby the Acquirer deducts any amount from the Settlement, pursuant to any disputed transactions between the Merchant and the Merchant’s customer arising from payments made by the Merchant’s customer to the Merchant through the Services;
"扣款 "是指，在相關情況下，收單機構根據特約商店及其消費者之間因該消費者透過本服務向特約商店付款而產生的任何有爭議的交易行為，從結算過程中扣除任何金額的流程。
“Confidential Information” means any documents, knowledge, data, or information of whatsoever nature disclosed to or acquired by the Merchant, directly or indirectly from the Parties in connection with this Terms of Use, or otherwise including, but not limited to the following:
"機密資訊"是指特約商店直接或間接從各方揭露或取得的與本使用條款有關或其他方面的任何文件、知識、資料或任何性質之資訊，包含但不限於以下內容：
財務資訊；
技術資訊，包含但不限於研究、開發、程序、資料、設計及技術性專有知識。
商業資訊，包含但不限於定價、營運、規劃、行銷利益以及由Soft Space或收單機構向政府或任何主管機關所揭露的服務；
任何使用本服務之特約商店消費者的個人資訊或個人資料；及
所有機密或專有概念、文件、報告、清單、檔案、資料、規格、軟體、原始程式碼、目標代碼、流程圖、資料庫、資料檔案、發明、資訊、專有知識及商業機密，無論是否可申請專利或著作權者；
“Tap-To-Phone” means the mobile application issued or operated by Soft Space which enables the acceptance of contactless credit cards such as Visa and MasterCard, using Android based smartphones with near-field communication technology, to process contactless credit card transactions;
"Tap-To-Phone "是指由Soft Space發行或營運的行動應用程式，具備近距離無線通訊(NFC)技術功能的Android智慧型手機可透過該行動應用程式接受如Visa及MasterCard等非接觸式信用卡付款，及處理非接觸式信用卡交易。
“Intellectual Property Rights” means all intellectual and industrial property rights of whatever nature, anywhere in the world and all rights pertaining thereto, whether recorded or registered in any manner, or otherwise, including patents, trademarks, registered designs (including applications for any of the same), copyright, design rights, database and software rights, trade secrets, know-how, business process, trade names, brand names, domain names and all other legal rights anywhere in the world protecting such intangible property;
"智慧財產權"是指世界上任何地方任何性質的所有智慧財產及產業財產權，以及與之相關的所有權利，無論是以任何方式或其他方式記錄或註冊的權利，包含專利、商標、註冊設計（包括任何相同的申請）、著作權、設計權、資料庫及軟體權、商業機密、專有知識、商業流程、商號、品牌名稱、域名名稱及世界上任何地方保護此類無形財產的所有其他法律權利。
“Services” means the App and the Software;
"服務"是指應用程式及軟體。
“Settlement” means the funds transfer of the amount due by Acquirer to the Merchant.
"結算"是指收單機構向特約商店進行的（收單機構應付特約商店的金額）資金移轉行為。
“TWD” means New Taiwan Dollar, the legal currency of Taiwan;
"新臺幣"是指臺灣的法定貨幣新臺幣。
1.2 INTERPRETATION
解釋
凡提及任何成文法（包括但不限於台灣或其他地方的任何成文法或法律規定，以及根據任何此類成文法或法律規定制定的任何附屬法），均應解釋為對以下方面的提及：
該成文法已直接或間接取代的任何成文法（無論是否有通知）；及
不時重新制定、取代或修改的該法規，不論是在本使用條款日期之前、當天或之後。
本使用條款中的標題僅是為了其方便性。
對任何文件（包含本使用條款）的引用是指該文件不時被修改、更新、批准或替換。
表示單數的詞語包含複數（反之亦然），表示性別的詞語包含所有其他性別。
除另有明文規定之外，如根據本使用條款所作出之任何行為、事項或事情的日期是營業日以外的日子，該行為、事項或事情應視為於緊接的營業日所作出。
如使用條款的中、英文兩個版本有任何抵觸或不相符之處，應以英文版本為準。
2. SCOPE AND TERM OF SERVICES
服務範圍及期限
2.1 Scope of Services
服務範圍
Soft Space將提供及促進本服務。
Soft Space將負責處理特約商店客戶使用應用程式進行非接觸式信用卡交易的付款。
2.2 Soft Space will provide the Merchant with the App. A login name and password will be generated for the App to enable the Merchant to accept contactless credit card payments for the products or services.
Soft Space將向特約商店提供應用程式。該應用程式將產生一個登入帳號及密碼，使特約商店能夠接受非接觸式信用卡付款產品或服務。
2.3 The Merchant accepts and agrees that Soft Space acts as an intermediary between the Merchant, the Merchant’s customer and the Acquirer. The Merchant accepts and agrees that any payment made by the Merchant’s customer to the Merchant using the App shall be inclusive of all taxes and miscellaneous charges (if applicable). The Merchant accepts and agrees that all payments and/or transactions through the App shall be conducted in New Taiwan Dollars only.
特約商店接受且同意Soft Space作為特約商店、特約商店的客戶及收單機構之間的中介。特約商店接受且同意其客戶使用應用程式向特約商店所支付的任何款項應包含所有稅費及雜費（如適用）。特約商店接受且同意，所有透過應用程式進行的付款及/或交易均應以新台幣進行。
2.4 Soft Space may in its sole and absolute discretion, with or without notice to the Merchant, undertake scheduled update, maintenance and/or emergency maintenance on the Services from time to time and at any time. Soft Space or the Acquirer, will endeavour to notify the Merchant of the same within a reasonable time. The Merchant agrees and accepts that Soft Space and the Acquirer shall not be liable for any losses incurred by the Merchant as a result of such schedule update, maintenance and/or emergency maintenance in this Clause 2.4.
Soft Space得於通知或不通知特約商店的情況下，自行及酌情決定隨時對本服務進行定期更新、維護及/或緊急維護。Soft Space或收單機構將盡力於合理時間內通知特約商店。特約商店同意且接受對於特約商店因本使用條款第2.4條所述的定期更新、維護及/或緊急維護而造成的任何損失，Soft Space及收單機構不因此承擔任何責任。
2.5 No Warranties of Merchantability and Fitness of Use
不保證適銷性及使用的適用性
Soft Space and the Acquirer disclaim all warranties, express or implied, written or oral, including but not limited to warranties:-
Soft Space 及收單機構不承擔所有明示或暗示的、書面或口頭的保證，包含但不限於以下保證：
有關本服務的適銷性及/或服務對某一特定用途的適用性；及
本服務將隨時可用，且Soft Space向特約商店所提供的服務將不會中斷，且無病毒及/或惡意軟體及/或錯誤。
3. RESPONSIBILITIES
責任
3.1 Merchant’s Responsibilities
特約商店的責任
The Merchant agrees and accepts that:
特約商店同意且接受：
(a) For any sales, marketing and promotional activities, the Merchant shall not misrepresent its goods and services, nor will it infringe any laws, regulations or other person’s rights and entitlements;
在任何銷售、行銷及推廣活動中，特約商店不得曲解其商品及服務，亦不得侵犯任何法律、法規或其他人的權利及權益；
(b) the Merchant shall be solely responsible for all claims, disputes and any issues, which may arise in relation to all its goods and services, which are being sold, marketed and/or distributed through the Services.
特約商店應對其透過本服務銷售、行銷及/或分銷的所有商品及服務可能產生的所有索賠、糾紛及任何問題負全部責任收單機構；
(c) the Merchant shall complete the Merchant application form and/or all other processes required in the App, to enable Soft Space to process payments through the Services, before accepting any payment for the Merchant’s goods and/or services, through the Services;
特約商店應於透過本服務接受特約商店的商品及/或服務的任何付款之前，完成特約商店申請表及/或應用程式中所要求的所有其他流程，以使Soft Space能夠透過服務處理付款；
(d) the Merchant shall comply with all applicable laws and regulations. The Merchant shall ensure that all necessary tax or regulatory filings regarding the Merchant are completed as required.
特約商店應遵守所有適用的法律及規範。特約商店應確保其已依要求完成有關特約商店的所有必要的稅務或監管備案。
3.2 Soft Space’s Responsibilities
Soft Space的責任
Soft Space shall have the following responsibilities in relation to the Services:
Soft Space應就本服務承擔以下責任：
(a) Soft Space shall be responsible to maintain the Services and ensure that Soft Space will be able to render the Services;
Soft Space應負責維護本服務，且確保Soft Space能夠提供本服務；
(b) Soft Space shall advise the Merchant of the various requirements that are required of the Merchant to manage and/or use the App and/or the Services in connection with the Merchant’s customer. The Merchant undertakes to comply with the foregoing requirements;
Soft Space應告知特約商店管理及/或使用應用程式及/或服務所需的與特約商店客戶相關的各種要求。特約商店承諾遵守上述要求；
(c) Soft Space shall provide the Merchant with such reasonable technical and necessary assistance in connection with the Services. The Merchant undertakes to comply with any directions and/or guidelines by Soft Space in connection with and/or regarding the Services; and
Soft Space應向特約商店提供與本服務有關的合理技術性及必要的協助。特約商店承諾遵守Soft Space就本服務相關及/或有關服務的任何指示及/或指引；及
(d) Soft Space may from time to time, in its absolute discretion, provide upgrades to the Services and/or offer additional services. The Merchant's continued use of the Services shall be deemed to be the Merchant’s acceptance of such upgrades, additional services, and the terms and conditions governing such usage, including without limitation, this Terms of Use, as revised or amended from time to time.
Soft Space得不時自行決定對本服務進行升級及/或提供附加服務。特約商店繼續使用本服務，應視為接受該等升級、附加服務及有關使用的條款及條件，包含但不限於本使用條款的不時修訂或修正。
3.3 By using and/or by your continuous use of the Services or any product and/or services provided by the Soft Space Group, whether or not in collaboration with the Acquirer, you are deemed to have agreed to all relevant and applicable terms and conditions including without limitation this Terms of Use, the Privacy Policy and the Personal Data Protection Policy.
透過使用及/或您持續使用服務或Soft Space集團所提供的任何產品及/或服務，無論是否與收單機構合作，均視為您已同意所有相關及適用的條款及條件，包含但不限於本使用條款、隱私權政策及個人資料保護政策。
4. UNDERTAKINGS
承諾
4.1 Intellectual Property Ownership
智慧財產所有權
(a) The Merchant agrees and accepts that:
特約商店同意且接受以下內容：
(i) all intellectual property rights in the Services where such component of the Services are designed, developed, customised, created and/or built by Soft Space are and shall remain the exclusive property of Soft Space, and all intellectual property rights in the Services where such component of the Services are designed, developed, customised, created and/or built by the Acquirer independently from the Application are and shall remain the exclusive property of the Acquirer; and
如果本服務的特定部分是由Soft Space所設計、開發、客製、創建及/或建造的，本服務以上特定部分的所有智慧財產權是並將繼續是Soft Space的專有財產，而如果本服務獨立於應用程式的部分是由收單機構所設計、開發、客製、創建及/或建造的，该部分的所有智慧財產權是並將繼續是收單機構的專有財產；及
(ii) all use of any content or function in the Services (including without limitation any intellectual property rights in the Services) shall inure solely to the benefit of Soft Space or the Acquirer, as the case may be. The Merchant shall not at any time do or suffer to be done any act or thing that will in any way impair the rights of Soft Space and the Acquirer in and to the Services.
對本服務中任何內容或功能的所有使用（包含但不限於本服務中的任何智慧財產權）均應完全歸Soft Space或收單機構所有(如情況適用)。特約商店在任何時候均不得做出或容忍做出以任何方式損害Soft Space及收單機構對於本服務之權利之行為或事情。
(b) Nothing in this Terms of Use grants, nor shall the Merchant acquire hereby, any right, title or interest in or to the Services or any underlying or third party intellectual property rights inherent therein, or any goodwill associated therewith, other than those rights expressly granted hereunder. This Terms of Use shall not affect Soft Space’s and the Acquirer’s right to enjoin or obtain relief against any acts by third parties or trademark infringement or unfair competition, or any other action that Soft Space and the Acquirer may take to protect Soft Space’s and the Acquirer’s intellectual property rights in any country.
本使用條款中的任何內容均不得授權，商家亦不得據此獲得本服務中的任何權利、所有權或利益，或其中固有的任何基礎或第三方廠商之智慧財產權，或與之相關的任何商譽，惟本條款明確授予的權利不在此限。本使用條款不影響Soft Space及收單機構對第三方廠商的任何行為或商標侵權或不正當競爭行為進行禁止或獲得救濟的權利，亦不影響Soft Space及收單機構在任何國家為保護其智慧財產權而採取的任何其他行動。
(c) Soft Space and Soft Space’s affiliates, where applicable, shall own all the rights, title and interest, including all related intellectual property rights, in and to the Services, as well as all the rights, title and interest, including all related intellectual property rights in connection with any suggestions, ideas, enhancement requests, feedback, recommendations and/or other information provided by the Merchant regarding the Services.
Soft Space及其附屬公司（如適用）應擁有本服務的所有權利、所有權及利益，包含所有相關的智慧財產權，以及提供予特約商店有關本服務的任何意見、想法、改進要求、回饋、建議及/或其他資訊有關的所有權利、所有權及利益，包含所有相關的智慧財產權。
(d) This Terms of use do not constitute a sale agreement and do not convey to the Merchant any rights of ownership in or related to the Service, or any other intellectual property rights owned by Soft Space and/or Soft Space’s affiliates.
本使用條款不構成銷售協議，亦不得轉讓本服務或與本服務相關的任何所有權權利，或Soft Space及/或Soft Space附屬公司所擁有的任何其他智慧財產權予特約商店。
(e) Soft Space’s name, Soft Space’s logo and the Services are trademarks of Soft Space and/or Soft Space’s affiliates, and no right or license is granted to use them.
Soft Space的名稱、Soft Space的標識及本服務均為Soft Space及/或Soft Space附屬公司的商標，不授予任何權利或許可使用。
(f) For the avoidance of doubt, the term the Services herein shall include all its respective components, processes and/or design in its entirety.
為避免疑義，本條款中的本服務一詞應包括其所有相關元件、流程及/或設計的全部內容。
4.2 Confidentiality
機密性
(a) All Confidential Information disclosed or communicated by the Soft Space and the Acquirer to the Merchant or obtained by the Merchant from Soft Space or the Acquirer in connection with this Terms of Use, including but not limited to the business and operations of Soft Space and the Acquirer and the provisions of this Terms of Use shall be treated as confidential information by the Merchant unless the information:
Soft Space及收單機構向特約商店所揭露或傳達或特約商店從Soft Space或收單機構所獲得的與本使用條款有關的所有機密資訊，包含但不限於Soft Space及收單機構的業務及經營情況，以及本使用條款之規定，特約商店應將該資訊視為機密資訊，除非該資訊是：
(i) is or becomes publicly available through no fault of the Merchant;
非因特約商店的過錯而被公開的；
(ii) which the Merchant can prove was in the Merchant’s possession or known to the Merchant prior to its receipt from Soft Space or the Acquirer;
特約商店能夠證明在收到Soft Space或收單機構提供的資訊之前，該資訊已為特約商店所擁有或為其所知悉；
(iii) was rightfully received by the Merchant from a third party without a duty of confidentiality being owed by the Merchant to the third party, except where the Merchant has knowledge that the third party has obtained that information either directly or indirectly as a result of a breach of any duty of confidence owed to Soft Space or the Acquirer; or
特約商店從第三方廠商合法取得的資訊，而特約商店對第三方廠商並無保密義務，除非特約商店知悉第三方廠商因違反對Soft Space或收單機構的任何保密義務而直接或間接獲得該資訊；或
(iv) was independently developed by the Merchant without the use of the Confidential Information.
特約商店在沒有使用保密資訊的情況下所獨立開發的。
(b) The Confidential Information shall be held in strict confidence by the Merchant, using no lesser security measures and degree of care as it uses to protect the Merchant’s own confidential information. In any event, the security measures and the degree of care the Merchant uses shall, as a minimum, comply with the standards imposed by the applicable laws including the Personal Data Protection Act 2010 (“PDPA”). The Merchant shall further ensure that the Confidential Information is secured from any unauthorized access, from internal and external parties and that all Confidential Information used, stored and/or processed shall be free from virus, malware or other malicious codes.
特約商店對機密資訊應嚴格保密，所採取的安全措施及其謹慎程度不得低於其用於保護自身機密資訊的程度。在任何情況下，商家所採取的安全措施及其謹慎程度至少應符合適用法律（包括《2010年個人資料保護法》（"PDPA"）規定的標準。特約商店應進一步確保機密資訊的安全，防止內部及外部各方未經授權的訪問，並確保所有使用、儲存及/或處理的機密資訊不含病毒、惡意軟體或其他惡意程式碼。
(c) The Confidential Information shall only be used, copied, reproduced, distributed or disclosed by the Merchant strictly for the purposes contemplated under this Terms of Use only. The Confidential Information may, however, be disclosed:
特約商店僅能嚴格地依照本使用條款所規定的目的使用、複印、複製、分發或揭露機密資訊。然而，該機密資訊得依下列情形被揭露：
(i) to the Merchant’s employees or the Merchant’s legal and/or financial advisers, on a strict need to know basis, to implement or perform this Terms of Use only provided that its employees and advisers are subject to and maintain the confidentiality obligation under this Terms of Use and the Merchant shall indemnify Soft Space and the Acquirer for any damages, losses, cost and expenses suffered or incurred by Soft Space or the Acquirer arising out of or in connection with any breaches thereof by its employees and advisers; and/or
在嚴格必須知道的基礎上，向特約商店的雇員或其法律及/或財務顧問揭露，以實施或執行本使用條款，前提是其雇員及顧問必須遵守並維護本使用條款下的保密義務，且特約商店應賠償Soft Space及收單機構因其雇員及顧問違反本使用條款而遭受或產生的任何損害、損失、成本及費用；及/或
(ii) if its disclosure becomes mandatory pursuant to any laws or any acts of authority or rules of any stock exchange or is for the purposes of court proceedings.
如果根據任何法律或任何權力機構的行為或任何證券交易所的規則，或出於法院訴訟的目的，其揭露成為強制性的。
(d) In the event the Merchant is required to disclose any Confidential Information pursuant to any laws or any acts of authority or rules of any stock exchange, or is for the purposes of court proceedings, the Merchant:
如果特約商店根據任何法律或任何證券交易所的權力行為或規則，或為法庭訴訟的目的而被要求揭露任何機密資訊，則特約商店：
(i) shall where practicable and lawful give twenty-four (24) hours’ notice to Soft Space and the Acquirer that it is required to disclose the Confidential Information so that Soft Space and/or the Acquirer has an opportunity to protect the confidentiality of its Confidential Information; and
在實際可行及合法的情況下，須於二十四（24）小時前通知Soft Space及收單機構其所須揭露的機密資料，以便Soft Space及/或收單機構有機會保護其機密資料的機密性；及
(ii) provides Soft Space and the Acquirer with a copy of the Confidential Information that the Merchant is to disclose.
向Soft Space及收單機構提供特約商店所要揭露的機密資訊的副本。
(e) Upon the expiry or termination of this Terms of Use, the Merchant shall promptly return to Soft Space or the Acquirer, as applicable, or, where requested by Soft Space or the Acquirer, as applicable, destroy all such Confidential Information and immediately cease using all Confidential Information. Where required by Soft Space and/or the Acquirer, the Merchant shall provide to Soft Space and/or the Acquirer a written undertaking confirming that it has fully complied with the requirements of this Clause 4.2 and that the Merchant is not in possession or control of any Confidential Information.
本使用條款到期或終止後，特約商店應立即將所有該等機密資訊返還予Soft Space或收單機構，如適用，或在Soft Space或收單機構要求的情況下，如適用，，銷毀所有該等機密資訊並立即停止使用所有機密資訊。在Soft Space及/或收單機構的要求下，特約商店應向Soft Space及/或收單機構提供書面承諾，確認其已完全遵守本使用條款第4.2條的要求，且特約商店不擁有或控制任何機密資訊。
(f) The Merchant shall ensure that each of the Merchant’s personnel complies strictly with the obligations under this Clause 4.2. The Parties accept and agree that Soft Space and/or the Acquirer shall be entitled to obtain injunctive relief, or any other restraining or any other appropriate order against the Merchant in the event of any threat or disclosure of Confidential Information. The obligations of the Merchant in this Clause 4 shall survive after the termination or expiry of this Terms of Use.
特約商店應確保其每個人員嚴格遵守本使用條款第4.2條的義務。各方接受且同意，在出現任何威脅或揭露機密資訊的情況下，Soft Space及/或收單機構有權對特約商店取得禁制令救濟，或任何其他限制令或任何其他適當的命令。在本使用條款終止或到期後，特約商店在本使用條款第4條中的義務仍然有效。
4.3 Violation by the Merchant
特約商店違規行為
The Merchant shall not engage and/or attempt to do any of the following:
特約商店不得從事及/或試圖進行下列任何行為：
(a) Tamper, hack, reverse-engineer, modify or otherwise corrupt the Services or the App (including without limitation the security and functionality of the Services or the App);

(b) Use the Services for money laundering activities;
使用本服務進行洗錢活動；
(c) Use the Services for any unlawful, illegal and/or immoral activities and/or purposes, including but not limited to violation of the laws of Taiwan and/or policy documents, rules and/or guidelines issued by the Central Bank of the Republic of China (Taiwan); and
使用本服務進行任何非法、不合法及/或不道德的活動及/或目的，包含但不限於違反中華民國（台灣）法律及/或中華民國（台灣）中央銀行所發佈的政策宣導公文、規則及/或指引；及
(d) manipulate, exploit or tamper with the Services and/or App (where applicable) in anyway which Soft Space may in its absolute discretion deem improper, irregular and/or dishonest.
以任何方式操縱、利用或篡改本服務及/或應用程式（如適用），而Soft Space得自行全權決定認為其為不適當、不規範及/或不誠實的。
5. REPRESENTATIONS AND WARRANTIES; LIMITATIONS
表示及保證；侷限性
5.1 By using the Services, you represent and warrant that you have the full right, authority, power, approvals and capacity to use the Service and to enter, execute, perform and adhere to this Terms of Use, which constitutes valid and binding obligations of between the Parties.
您使用本服務，即表示您聲明並保證您有充分的權利、授權、權力、核准及能力使用本服務，並進入、執行、履行及遵守本使用條款，本使用條款構成各方之間有效的、有約束力的義務。
5.2 The Merchant covenants, represents and warrants that:

(a) the Merchant shall comply with all applicable consumer, personal data protection and other laws and regulations with respect to:
特約商店應遵守所有適用的消費者保護、個人資料保護及其他有關以下方面的法律及規範：
(i) the Merchant’s use of the Services;
特約商店對於本服務的使用；
(ii) the Merchant’s dealings with the Merchant’s customer; and
特約商店與其客戶之間的交易；及
(iii) the Merchant’s processing, use and disclosure of any Merchant’s customer personal data.
特約商店對任何其客戶之個人資料的處理、使用及揭露。
(b) the Merchant shall ensure the safety and confidentiality of the login name and password of its App account and shall keep Soft Space and the Acquirer fully indemnified from all liability, losses, damages, costs and expenses incurred by Soft Space and the Acquirer arising out of or in connection with the misuse of the App. The Merchant shall immediately notify the Acquirer upon learning of any unauthorized use of its login name and/or password of its App account.
特約商店應確保其應用程式帳戶的登錄帳號及密碼的安全性及保密，並使Soft Space及收單機構得因收單機構濫用應用程式而產生或與之相關的一切責任、損失、損害、費用及支出獲得充分賠償。特約商店在得知任何未經授權使用其應用程式帳戶的登錄帳號及/或密碼的情況後，應立即通知收單機構。
(c) the Merchant shall observe and comply with the guidelines, procedures or such other updates as provided by Soft Space from time to time during the term of this Terms of Use.
在本使用條款有效期限內，特約商店應遵守並依照Soft Space不時提供的指引、程式或其他更新。
(d) the Merchant shall promptly install any updates, fixes and patches whenever they are made available or notified of its availability by Soft Space.
特約商店應即時安裝由Soft Space所提供或通知的任何更新、修復及修補檔。
(e) the Merchant has the full legal right and/or authority to offer and/or provide the applicable products and/or services and shall at its own cost obtain and maintain the necessary licenses and approvals from the government or any regulatory body for the provision of its products and/or services and for performance of its obligations under this Terms of Use.
特約商店擁有提供及/或提供適用產品及/或服務的全部合法權利及/或授權，並應自費從政府或任何主管機關取得及維持必要的授權及核准，以提供其產品及/或服務並履行本使用條款下的義務。
(f) the Merchant shall be solely responsible for all the issues regarding the Merchant’s customers in relation to the transaction, products and/or services sold by the Merchant, including but not limited to the charges imposed on the Merchant’s customers for the provision of the Merchant’s products and/or services, order fulfilment, order returns, refunds, exchanges and adjustments, rebates, functionality and warranty, technical support, customer complaints and feedback concerning experiences with the Merchant’s personnel, policies or processes and the Merchant shall bear any and all expenses and/or costs relating thereto.
特約商店應全權負責與其客戶有關的所有銷售交易、產品及/或服務有關的問題，包含但不限於因提供特約商店的產品和/或服務予其客戶而向其收取的費用、履行訂單、訂單退貨、退款、換貨及調整、折扣、功能及保固、技術支援、客戶投訴及與特約商店的人員、政策或流程有關的經驗回饋，特約商店應承擔與此有關的任何及所有費用及/或成本。
(g) the Merchant shall not conduct any unlawful or illegal transactions using the Services.
特約商店不得利用本服務進行任何非法或違法的交易。
(h) the Merchant shall immediately report to the Acquirer upon the discovery of any fraud, theft, loss, unauthorized usage or any other occurrence of unlawful or illegal acts in relation to the Services, App, and/or their respective use. The Merchant agrees to lodge a police report whenever instructed by the Acquirer or Soft Space and to give the Acquirer and/or Soft Space a certified copy of such report.
特約商店於發現任何與本服務、應用程式及/或其各自使用有關的欺詐、盜竊、損失、未經授權的使用或任何其他非法或違法行為時，應立即向收單機構告知。特約商店同意經收單機構或Soft Space指示時應隨時報警，並向收單機構及/或Soft Space提供該等報告的認證副本。
(i) the Merchant shall cooperate with Soft Space and the Acquirer and provide all transaction related details required by any government or regulatory body.
特約商店應與Soft Space及收單機構合作，提供任何政府或主管機關所要求的所有交易相關明細。
(j) the Merchant shall not charge the Merchant’s customer any additional fee or charges on top of the price of the goods and/or services provided by the Merchant, other than the sales and service tax imposed by law (if applicable).
除法律所規定的銷售及服務稅（如適用）之外，特約商店不得向其客戶收取任何額外的費用或收費。
(k) the Merchant shall keep proper account and correct copies of all documents/records relating to the transactions made using the Services and Soft Space and/or the Acquirer shall be allowed at any reasonable time to inspect or take copies of all such documents and shall preserve such documents and records for a period of at least two (2) years from the transaction date of any transaction made using the Services.
特約商店應妥善保存與使用本服務進行的交易有關的所有文件/記錄的帳目及正確的副本，Soft Space及/或收單機構應被允許在任何合理的時間檢查或複印所有該些文件，且應將該些文件及記錄保存至少兩（2）年，從使用本服務進行的任何交易日開始計算。
(l) the Merchant shall not use the Services and/or the App in any manner and/or engage in any activities which is prejudicial to Soft Space or the Acquirer and/or in any manner which would bring disrepute to Soft Space or the Acquirer, all of which shall be determined by Soft Space and the Acquirer in their sole and absolute discretion.
特約商店不得以任何方式使用本服務及/或應用程式及/或從事任何有損於Soft Space及/或收單機構 及/或有損於Soft Space及/或收單機構聲譽的活動，上述活動均由Soft Space及收單機構全權決定。
(m) the Merchant shall ensure that the account registered by the Merchant on the App remains personal to itself and it shall not register an account on behalf of any third party or in any way transfer or assign its Merchant account to any third party without the prior written consent from the Acquirer.
特約商店應確保其於應用程式中所註冊的帳戶仍為其個人所有，未經收單機構事先書面同意，不得代表任何第三方廠商註冊帳戶，或以任何方式將其帳戶移轉或轉讓予任何第三方廠商。
(n) where relevant and/or applicable, the Merchant shall be solely responsible for the management of all its Tap-To-Phone account (whether or not such Tap-To-Phone accounts are used in one or more premises) and Soft Space and the Acquirer shall not be responsible for any consequences arising from the abuse or misuse of the Services;
在相關及/或適用的情況下，特約商店應全權負責管理其所有的Tap-To-Phone帳戶（無論該Tap-To-Phone帳戶是否在一個或多個場所使用），Soft Space及收單機構對因濫用或誤用本服務而產生的任何後果概不負責。
5.3 Limitation of Liability

Except as otherwise specifically set forth in this Terms of Use, the Services provided by Soft Space, in collaboration with the Acquirer, is provided by Soft Space and the Acquirer without any warranty, express or implied, including but not limited to any implied warranty of merchantability or fitness for a particular purpose. In no event will Soft Space or the Acquirer be liable to the Merchant or any third party for any indirect, incidental, special, consequential or punitive damages resulting from the use by the Merchant of the Services or any services provided by Soft Space and the Acquirer under this Terms of Use, even if Soft Space and the Acquirer have been advised of the possibility of such damages.
除本使用條款另有特別規定外，Soft Space與收單機構合作提供的本服務係由Soft Space及收單機構所提供，Soft Space及收單機構不提供任何明示或暗示的擔保，包含但不限於對適銷性或特定用途的適用性的任何暗示擔保。在任何情況下，對於因特約商店使用本服務或Soft Space根據本使用條款所提供的任何服務而導致的任何間接的、附帶的、特殊的、後果性的或懲罰性的損害，Soft Space及收單機構均不對特約商店或任何第三方廠商承擔任何責任，即使Soft Space及收單機構已被告知可能發生此類損害。
5.4 Indemnity

The Merchant shall fully indemnify Soft Space and the Acquirer for all losses, damages, claims, cost and expenses in respect of or in connection with any and all actions, suits, claims, demands and/or proceedings brought against Soft Space or the Acquirer with respect to, in connection with or resulting from:
特約商店應全額賠償Soft Space及收單機構因以下原因對Soft Space或收單機構所提起或與之相關的任何及所有訴訟、起訴、索賠、要求及/或進行中的所有損失、損害、索賠、費用及支出。
(a) breach or non-performance by the Merchant of any of its undertakings, warranties, covenants, declarations or obligations under this Terms of Use; and
特約商店違反或不履行其在本使用條款下的任何承諾、保證、契約、聲明或義務；及
(b) any claim brought by a Merchant’s customer with respect to the products and/or services provided by the Merchant (including the refund regarding such products and/or services).

6. PRIVACY POLICY & PERSONAL DATA PROTECTION POLICY

6.1 You agree and consent to Soft Space and/or the Acquirer using and processing your Personal Data for the Purposes and in the manner as identified hereunder.
您同意且允諾Soft Space及/或收單機構以下述目的及方式使用及處理您的個人資料。
6.2 This Privacy Policy describes how Soft Space and/or the Acquirer collect your Personal Data, the use of the Personal Data, the disclosure of the Personal Data and how you can contact Soft Space and/or the Acquirer to request access to your Personal Data and seek correction of your Personal Data.
本隱私權政策詳述Soft Space及/或收單機構將如何收集您的個人資料、個人資料的使用、個人資料的揭露，以及您如何聯繫Soft Space及/或收單機構，要求存取您的個人資料及尋求更正您的個人資料。
6.3 For the purposes of this Terms of Use, “Personal Data” means information about you, from which you are identifiable, including but not limited to your name, identification card number, birth certificate number, passport number, nationality, address, telephone number, race, gender, date of birth, postal address, email address, other contact details, identification details, payment details, IP Address, network information, device and user identifiers, financial account details and any information about you which you have provided to Soft Space and/or the Acquirer in registration forms, application forms or any other similar forms whether or not in the App, the Services or the Application and/or any information about you that has been or may be collected, stored, used and processed by Soft Space and/or the Acquirer.

6.4 This Privacy Policy also serves as a Personal Data Protection Notice pursuant to the Personal Data Protection Act 2010. You acknowledge and agree that Soft Space has the absolute right and discretion to update and amend this Privacy Policy from time to time. We will notify you of any amendments to this Privacy Policy or our Personal Data Privacy Policy through announcements on our website, through the App, Software, or Service, or any other appropriate means.
根據2010年《個人資料保護法》，本隱私政策亦可作為個人資料保護通知。您承認且同意，Soft Space保有絕對權利及自由不時地更新及修改本隱私政策。我們將透過在網站上的公告、應用程式、軟體或本服務或其他任何適當的方式，向您通知本隱私政策或我們的個人資料隱私政策的任何修訂。
6.5 The provision of your Personal Data to Soft Space and/or the Acquirer is voluntary. However, if you do not provide Soft Space and/or the Acquirer your Personal Data, your request for the Application may be incomplete and Soft Space and/or the Acquirer will not be able to process your Personal Data for the Purposes outlined below and may cause Soft Space and/or the Acquirer to be unable to allow you to use the Services.
向Soft Space及/或收單機構提供您的個人資料是自願的。惟若您不向Soft Space及/或收單機構提供您的個人資料，您的申請將可能不完整，Soft Space及/或收單機構將無法為下述目的處理您的個人資料，並可能導致Soft Space及/或收單機構無法允許您使用本服務。
6.6 Soft Space and/or the Acquirer may use and process your Personal Data for business and activities of Soft Space and/or the Acquirer which shall include, without limitation the following (“Purposes”):

(a) to perform Soft Space and/or the Acquirer’s obligations in respect of any contract entered with you;

(b) to provide you with any services pursuant to this Terms of Use;

(c) to provide you or to send you information of any other products and/or services offered by Soft Space and Soft Space Group or the Acquirer;

(d) to process, manage or verify the Merchant’s application for the Services pursuant to this Terms of Use;

(f) to process any refunds, rebates, chargebacks and or charges pursuant to this Terms of Use;

(g) to facilitate or enable any audit, investigation or checks as may be required pursuant to this Terms of Use;

(k) for Soft Space and/or the Acquirer to comply with its obligations under law or regulations (whether in Taiwan or overseas including disclosing such Personal Data to Taiwanese and overseas law enforcement agencies or courts);

(l) for any communications with you to ensure customer satisfaction, including without limitation to conduct surveys or to notify you of any changes to this Terms of Use;

(m) to respond to questions, comments and feedback from you.

6.7 In addition to the above, Soft Space and the Acquirer may wish to communicate with you either by email, telephone or text message in relation to the following matters (“Marketing Purposes”):

(a) to process your participation in any events, promotions, activities, focus groups, research studies, contests, promotions, polls, surveys or any productions and to communicate with you regarding your attendance thereto;

(c) to notify and invite you to events or activities organized by Soft Space or the Acquirer, their respective affiliates, partners, advertisers, and or sponsors; and/or
通知及邀請您參與由Soft Space或收單機構及其附屬公司、合作夥伴、廣告商及/或贊助廠商所舉辦的活動；及/或
(d) to share your Personal Data amongst the companies within Soft Space Group and with the Acquirer’s, Soft Space’s and Soft Space Group’s agents, third party providers, developers, advertisers, partners event companies or sponsors who may communicate with you for any reasons whatsoever.

6.9 You are responsible for ensuring that your Personal Data is accurate, true, complete and kept current. If any of the Personal Data that you have provided to us changes, for example, if you change your email address, telephone number, payment details or if you wish to cancel your Tap-To-Phone account or withdraw your permission to receive communications for Marketing Purposes, please update your details by sending your request to the support contact details through GPTWAUTHS@globalpay.com or through the Acquirer’s Customer Service telephone number, (02)8253-0180.
您有責任確保您的個人資料之準確性、真實性、完整性且保持為最新。如果您所提供給我們的任何個人資料有所異動，例如，您更改了您的電子郵件地址、電話號碼、付款細節，或如果您想取消您的Tap-To-Phone帳戶或撤回您為行銷目的接受聯繫的許可，請透過GPTWAUTHS@globalpay.com或透過收單機構的客戶服務電話(02)8253-0180，將您的請求發送至支援聯繫細節，以更新您的詳細資料。
6.10 Soft Space and the Acquirer reserve the right to transfer your Personal Data to their respective affiliates and outsources (whether in Taiwan or overseas) for the purpose of the use of such data in the operations of the designated payments instrument that are provided to Soft Space and the Acquirer by such affiliates or outsources.
Soft Space及收單機構保留將您的個人資料移轉予其附屬公司及外包公司（無論是在台灣或海外）的權利，以便於該附屬公司或外包公司提供予Soft Space及收單機構之指定支付工具的運作中使用該等資料。
6.11 Soft Space and/or the Acquirer is committed to full compliance with the provisions of the PDPA. Should you wish to request access to your personal data, or if you have any inquiries or complaints in respect of our processing of your personal data, an officer may be communicated with in writing through GPTWAUTHS@globalpay.com or the Acquirer’s Customer Service telephone number, (02)8253-0180.

6.12 You agree and accept that you shall strictly comply with the provisions of the PDPA, where relevant and/or application, governing your use of the Services.

7. MISCELLANEOUS

7.1 Consent to Specific Performance
對具體業績之同意
The Parties hereto agree that it might be impossible to measure in money the damages which would accrue to the Parties by reason of failure to perform certain obligations hereunder. The Parties shall, therefore, be entitled to seek injunctive relief, including specific performance, to enforce such obligations and if any action should be brought in equity to enforce any of the provisions of this Terms of Use. The Parties shall not raise the defense that damages are an adequate remedy in law.
各方在此同意，由於各方未能履行本條款下的某些義務，可能無法用金錢來衡量其損失。因此，各方應有權尋求禁令救濟，包含具體履行，以強制執行該等義務。若應提起任何訴訟以強制執行本使用條款的任何條款，各方不得以損害賠償為法律上的充分救濟為由提出抗辯。
7.2 Notices
通知
(a) Any notice or other communication required or permitted hereunder shall be in writing and shall be delivered personally or sent by certified, registered or express mail, postage prepaid to the addresses stated at the beginning of this Terms of Use or to such other address as the Parties may designate by written notice. Any such communication shall be deemed duly given, in the case of personal delivery and courier service, upon delivery and receipt of written acknowledgement thereof.
本使用條款要求或允許的任何通知或其他通訊均應以書面形式進行，並應親自遞送或以雙掛號、掛號或快遞的方式寄送至本使用條款開頭所述之地址或各方以書面通知指定的其他地址。在親自遞送及快遞服務的情況下，任何此類通訊應在交付並收到書面確認後被視為正式發出。
(b) In the case of registered mail, five (5) days after posting, provided that if such day is not a Business Day or such time not a normal business hour then delivery shall be deemed to have occurred on the following Business Day. If sent by electronic mail, twenty-four (24) hours after e-mail is sent provided always a copy thereof is sent by post.

7.3 Entire Agreement
完整協議
This Terms of Use, constitutes the entire agreement between the Parties with respect to the subject matter contemplated hereunder and supersedes all prior oral and written agreements, memoranda, understandings and undertakings between the Parties relating to the subject matter of this Terms of Use.
本使用條款構成各方就本使用條款所涵蓋的主題所達成的全部協議，並取代各方之前就本使用條款所涵蓋的主題有關的所有先前的口頭及書面協議、備忘錄、理解及承諾。
7.4 Waivers and Amendments; Non-Contractual Remedies; Preservation of Remedies

(a) Soft Space and the Acquirer may in their sole and absolute discretion, amend, revise, vary, modify or update this Terms of Use and suspend or cancel your Tap-To-Phone account or your eligibility to use the Services at any time. By your continuous use of the App and/or the Services, you are deemed to have read and agree to any such amendment, revision, variation, modification or update to this Terms of Use. You should check this page from time to time to see the changes.
Soft Space及收單機構可自行全權決定調整、修訂、變更、修改或更新本使用條款，並隨時暫停或取消您的Tap-to-Phone帳戶或使用本服務的資格。您持續使用應用程式及/或本服務，即視為您已閱讀並同意本使用條款的任何該類調整、修訂、變更、修改或更新。您應不時查閱本頁面以瞭解變更內容。
(b) No delay on the part of any of the Parties in exercising any right, power or privilege hereunder shall operate as a waiver thereof, nor shall any waiver on the part of any party of any such right, power or privilege, nor any single or partial exercise of any such right, power or privilege, preclude any further exercise thereof of the exercise of any other such right, power or privilege. The rights and remedies herein provided are cumulative and are not exclusive of any rights or remedies that the Merchant or the Parties may otherwise have at law or in equity.
任何一方在行使本使用條款項下的任何權利、權力或特權時的任何延遲均不視為對該權利、權力或特權的放棄，任何一方對該等權利、權力或特權的任何單一或部分行使亦不妨礙對任何其他該等權利、權力或特權的進一步行使。本使用條款所規定的權利及補救措施是累積性的，並不排除商家或各方在法律或衡平法上可能擁有的任何權利或補救措施。
7.5 Successors and Assigns
繼承及轉讓
(a) Soft Space and the Acquirer shall have the right to assign, novate or transfer all or any part of their interest in this Terms of Use without the prior written consent of the Merchant. Soft Space and the Acquirer shall be entitled to carry out their respective obligations under this Terms of Use through any representative or sub-contractors appointed by in their sole and absolute discretion.
Soft Space及收單機構有權於未經特約商店事先書面同意的情況下，轉讓、更新或移轉其於本使用條款中的全部或任何部分權益。Soft Space及收單機構有權全權決定透過其指定的任何代表或分包商履行其於本使用條款下的義務。
(b) The Merchant shall not assign, novate, transfer or in any way sub-contract, assign, novate, transfer or make over this Terms of Use or its rights or obligations hereunder without the prior written consent from Soft Space and the Acquirer. Any purported sub-contract, assignment, novation, transfer or disposition of this Terms of Use or any part thereof without such prior written consent from Soft Space and the Acquirer, shall be void and of no effect. Subject to this Clause 7.5, this Terms of Use shall be binding upon and shall inure to the benefit of Soft Space, the Acquirer, the Merchant and their successors and permitted assigns.
未經Soft Space及收單機構事先書面同意，特約商店不得將本使用條款或其於本使用條款項下的權利或義務轉讓、更替、移轉或以任何方式分包、轉讓、更替、移轉或讓渡。未經Soft Space及合夥夥伴事先書面同意，任何聲稱的分包、轉讓、更替、移轉或處置本使用條款或其任何部分的行為均為無效，且無任何效力。在遵守本使用條款第7.5條的前提下，本使用條款對Soft Space、收單機構、特約商店及其繼任者及允許的受讓人具有約束力，且使其受益。
7.6 Severability
可分割性
If any provision of this Terms of Use is held to be void, invalid or unenforceable, such provision shall be severed and the remaining provisions of this Terms of Use shall remain valid and shall be enforced to the fullest extent under law.
若本使用條款的任何規定被視為無效或不可執行的，則該規定應被分割開來，而本使用條款的其餘規定仍應有效，並應於法律所規定的最大範圍內執行。
7.7 Force Majeure
不可抗力
(a) None of the Parties shall be liable for any cost or otherwise, for any delay and/or failure in the execution of their respective obligations if such delay or failure is due to Force Majeure. Force Majeure shall mean any factors or impediment that are beyond the Party’s reasonable control and that it could not reasonably be expected to have taken the impediment into account at the time of the conclusion of this Terms of Use or to have avoided its consequences including but not limited to pandemic, outbreak of disease, government restrictive order, war, revolution, insurrection, riots, blockage or embargo, emergency, accident, fire, earthquake, flood, storm, industrial strikes, lockouts or other labour disputes not instigated or caused by the affected Party for the purposes of avoiding its obligations herein. Provided that an event of Force Majeure shall not include economic downturn, non- availability or insufficient funds, or lack of financing on the part of the affected Party to carry out its obligations under this Terms of Use.
如因不可抗力造成各自義務的延遲及/或未能履行，各方均不承擔任何費用或其他責任。不可抗力是指超出各方合理控制範圍的任何因素或障礙，且無法合理預期各方於訂立本使用條款時考慮到該障礙或避免其後果，包含但不限於大流行病、疾病的爆發、政府限制令、戰爭、革命、叛亂、暴動、封鎖或禁運、緊急情況、事故、火災、地震、洪水、風暴、工業罷工、停工或其他勞資糾紛等非受影響的一方為逃避本使用條款義務而煽動或造成。但不可抗力事件不應包括經濟衰退、受影響的一方缺乏資金或資金不足，或缺乏資金以履行本使用條款下的義務。
(b) If any Party is prevented or delayed in the performance of any obligation under this Terms of Use by events of Force Majeure, the affected Party shall give written notice thereof to the other Parties within seven (7) days of the happening of such event, specifying the details constituting Force Majeure and the anticipated period during which such prevention, interruption or delay may continue.
若任何一方因不可抗力事件而無法或延遲履行本使用條款下的任何義務，受影響的一方應在該事件發生後七（7）天內向其他各方發出書面通知，具體說明構成不可抗力的細節，以及該預防、中斷或延遲可能持續的預期期限。
(c) Where possible the Parties shall diligently mitigate or remove the effects of Force Majeure. Each Party upon receipt of the notice of Force Majeure shall confer promptly with the other Parties and agree upon a course of action to remove or alleviate such effect and shall seek reasonable methods of resuming full performance of its obligations and achieving the objectives under this Terms of Use.
如有可能，雙方應努力減輕或消除不可抗力的影響。任何一方於收到不可抗力通知後，應立即與其他各方協商，商定消除或減輕該影響的行動方案，並應尋求合理的方法恢復全面履行其義務，實現本使用條款規定的目標。
7.8 Governing Law and Jurisdiction
準據法及管轄法院
This Terms of Use shall be governed by, and construed, in accordance with, the laws of Taiwan and all disputes shall be submitted to the jurisdiction of the courts of Taipei.
本使用條款應受臺灣法律管轄並依臺灣的法律進行解釋，且所有爭議應提交臺北的法院管轄。
7.9 No joint venture, partnership, employment or relationship between a principal and agent exists between the Parties and the Merchant or any other third party merchant or provider as a result of this Terms of Use or the use of the App or the Services.
各方與特約商店或其他任何第三方商家或供應商之間不存在因本使用條款或使用應用程式或本服務而產生的合資、合作、雇傭或委託人與代理人之關係。
7.10 Merchant acknowledges that neither Soft Space nor the Acquirer shall in any manner, be liable to the Merchant for any loss incurred by the Merchant, including without limitation, any loss sustained by the Merchant, arising from the insolvency of Soft Space or the Acquirer; or resulting from lost or stolen devices, or fraudulent transactions whether or not through the use of the Services by the Merchant.
特約商店承認，Soft Space及收單機構均不以任何方式對特約商店的任何損失負責，包含但不限於商戶因Soft Space或收單機構破產而遭受的任何損失；或因設備丟失或遭竊或詐欺交易所造成的損失，無論其是否因特約商店使用本服務所造成。
8. TERMINATION
終止
8.1 This Terms of Use can only be terminated at the end of the Term or duration specified in the Merchant application form, or if:
本使用條款僅能於特約商店申請表中所規定的期限結束或於以下情況下終止：
(a) any Party is in breach of any of its payment obligations under this Terms of Use and such breach is not rectified within thirty (30) Business Days from the date of receipt of a notice to rectify the same ; or
任何一方違反本使用條款下的任何付款義務，且該等違約行為未於收到糾正通知之日起三十（30）個工作日內糾正；或
(b) any Party is in breach of any of its other obligations under this Terms of Use and such breach (if capable of being rectified) is not rectified within thirty (30) Business Days from the date of receipt of a notice to rectify the same; or
任何一方違反本使用條款下的任何其他義務，且該等違約行為（如能糾正）未於收到糾正通知之日起三十（30）個工作日內糾正；或
(c) an order is made for the winding up or dissolution of the Merchant, the Acquirer or Soft Space, other than for the purposes of reconstruction; or
特約商店、收單機構或Soft Space被下令結束或解散，但重建目的除外；或
(d) a receiver, manager, administrator, trustee or similar official is appointed of all or part of the assets or undertaking of the Merchant, the Acquirer, or Soft Space; or
特約商店、收單機構或Soft Space的全部或部分資產或業務被指定為接管人、管理人、管理人、受託人或類似官員；或
(e) the Merchant enters into, or resolves to enter into, any arrangement or composition or compromise with, or assignment for, the benefit of its members or creditors other than with the consent of Soft Space and the Acquirer; or
特約商店為其成員或債權人之利益而與之達成或決議達成任何安排或協定或妥協或轉讓，除非得到Soft Space及合夥夥伴的同意；或
(f) the Merchant, the Acquirer or Soft Space ceases to carry on business: then such person is to be taken to have defaulted under this Terms of Use and the other non-defaulting person, may, by notice to the defaulting person, terminate this Terms of Use and claim for all losses and damages suffered as a result of such default by the defaulting person. The date where the termination takes effect shall be referred to as “Termination Date”.
特約商店、收單機構或Soft Space停止經營：則該方將被視為違反本使用條款，其他非違約方可通過通知違約方終止本使用條款，並要求違約方賠償因該違約行為而遭受的所有損失及損害。終止生效的日期稱為 "終止日期"。
8.2 Obligations of the Merchant upon Expiry or Termination of this Terms of Use
本使用條款到期或終止時特約商店之義務
Upon the expiry or termination of this Terms of Use, the Merchant shall (without prejudice to other rights and remedies available to the Parties):
本使用條款到期或終止後，特約商店應（在不影響各方其他權利及補救措施的前提下）：
(a) no longer represent itself as a Merchant affiliated with the Acquirer or with Soft Space for the Services;
不再將其自身視為本服務與收單機構或Soft Space有所關聯的特約商店。
(b) without limiting Clause 8.2(a), terminate the development and implementation of any advertising or marketing programmes contemplated herein and remove all promotional materials of the Acquirer and Soft Space from the Merchant’s website or at the Merchant’s premises;
在不限制第8.2(a)條的前提下，終止制定及實施本使用條款所預期的任何廣告或行銷計畫，並從特約商店的網站或其場所移除所有與收單機構及Soft Space的宣傳材料。
(c) where applicable, return to Soft Space or the Acquirer, as applicable, all device or hardware belonging to Soft Space or the Acquirer in its possession within fifteen (15) days of the Termination Date (where applicable). All device or hardware must be returned in proper working order (including without limitation any other accessories provided to the Merchant) to Soft Space’s or the Acquirer’s registered address at Merchant’s expense. Failure to return said device or hardware and related accessories within the time specified shall allow Soft Space or the Acquirer, as the case may be, to impose charges for such device or hardware.
在適用的情況下，於終止日期（如適用）後十五（15）天內將其擁有的屬於Soft Space或收單機構，如適用，的所有設備或硬體返還予Soft Space或收單機構。所有設備或硬體必須以正常工作狀態返還（包含但不限於提供予特約商店的任何其他配件）至Soft Space或收單機構的註冊地址，且費用由特約商店承擔。如未能於規定時間內返還上述設備或硬體及相關配件，Soft Space或收單機構，如情況適用，得對該設備或硬體收取相關費用。
